Hazera Genetics Ltd. – Code of Ethics

Hazera Gentics Ltd. (the "Company") believes that consolidating its Code of Ethics and bestowing it upon its management and workers will strengthen the company's position in Israel as one of the leading, esteemed seed companies in the world.

1. Observance of Laws and Rules
The Company, management and workers are committed to observe laws, agreements, practices, rules, regulations and internal commerce and business relations rules, concerning the environment, corporate laws and securities, and any other legal norms.
The Company will act in a manner which will allow it to work together with various authorities, to best of its ability, to promote laws relevant to its activities and to adapt them to the evolving reality.
The Company will take measures and act as necessary, under specific circumstances.
Any worker who reports an issue to his manager will not be harmed.

2. Conflict of Interest
Managers and workers of the Company are not permitted to accept improper personal benefits and will not be personally or otherwise involved in any issue which may distract them from carrying out their duties objectively, or may cause them to lose their loyalty to the Company.

3. Protection of Hazera's Assets
The managers and workers of the Company are duty-bound to protect the Company's resources, assets, tangible property and intellectual property – from loss, incorrect use, waste, damage or theft, and to use them exclusively to reach the Company's objectives and for the advancement of the Company, and not for any personal, political or other foreign objectives.

4. Confidentiality
Hazera's employees are committed to take all necessary means to maintain the Company's business and commercial confidentiality and are only permitted to provide information to people who have permission from the Company to receive this information.
Confidential information includes, all Company documents, genetic material, breeding programs, inventions, copyrights, production processes, formulas, technologies, commercial information, business plans, and any other information in the employee's possession.

5. Fair Competition
Hazera Genetics competes in a competitive business environment, and is committed to fair competition, as customary in this environment, towards customers, partners, suppliers, competitors, and international governments and organizations.

6. Industrial Relations
Industrial relations – during candidature, during employment and at the end of a work relationship – are based on mutual respect and fairness, and a common feeling of responsibility towards the success of the Company and willingness to represent it in a respectful and appropriate manner.
The Company will provide its employees with a pleasant, supportive, secure, safe, and healthy work environment.
The Company will aspire to provide the employees with the opportunity to reach professional challenges, and to expand their personal abilities.
The Company encourages employment based on skills and not on favoritism and requires that its employees perform without bias in all situations.

7. Community and Environment
The Company is aware of its social responsibility, the importance of its involvement in the community and the need to consider the social, environmental and economical consequences of its decisions. The Company will cultivate connections with local organizations, both through holding educational and cultural activities and through giving donations and scholarships. The Company contributes and encourages its employees to contribute their time and money to charity and community services.
The Company is committed to operating while preserving nature, the environment and the earth.

8. Report
The Company has determined that an accurate report is a report that is made transparently, accurately, honestly and is carried out on time, according to the standards appropriate to the given situation. The Company encourages accurate reports between colleagues, subordinates and managers as necessary in order to support the Company succeed in its operations.
The Company will provide accurate reports to the authorities and to the public.

9. Consultation
The Company encourages managers and workers to consult with the appropriate party, according to the issue at hand (manager, legal advisor, CEO, etc.) if there is any doubt as to which action is to be taken and to report any violation of Company rules or of the Code of Ethics.

The Company's Quality Manager is responsible for the supervision of the application.
